Terms of Service

These Terms of Service ("Terms") govern your engagement with Onvextra LLC ("Onvextra," "we," "our," or "us"). By contracting our services, you agree to these Terms.

1. Services

Onvextra provides B2B digital services including website design and development, business automation, AI integration, business formation and operations setup, brand identity, and strategic consulting. The specific scope of any project is defined in a written quote agreed to by both parties before work begins.

2. Quotes and payment

All projects are quoted in writing. Quotes are valid for thirty (30) days from issuance. Payment terms are agreed in writing before work begins. Most projects require full payment upfront. For larger projects, a 50/50 split (deposit + balance on delivery) may be agreed in writing.

Accepted payment methods may include credit cards, debit cards, bank transfers (ACH), and other electronic payment methods processed through PCI-compliant third-party payment processors. Onvextra does not store or have direct access to your full payment card information. The specific payment methods available for a project are listed on the invoice or quote.

Onvextra reserves the right to change payment processors at any time without notice. Your existing payment obligations are not affected by such changes.

2.5 Pricing transparency

Project pricing is quoted in writing on a per-engagement basis. Our Services page describes the work we do; final pricing is always confirmed in writing in your quote. We do not charge hidden fees. Third-party costs (domains, hosting, software subscriptions, advertising, government filings) are passed through at cost and disclosed in writing before being incurred on your behalf.

3. Scope and revisions

Each project includes two (2) rounds of revisions to delivered work. Additional revisions or scope expansions are billed at $75 USD per hour, agreed in writing before any additional work is performed.

4. Client responsibilities

You agree to provide timely feedback, content, and access necessary for Onvextra to deliver the agreed scope. Delays in providing materials or feedback may extend timelines accordingly.

5. Intellectual property

Upon receipt of full payment, all deliverables created specifically for you (logos, copy, designs, code, configurations) are transferred to you. Onvextra retains the right to reference completed projects in our portfolio and marketing materials unless you request otherwise in writing.

Third-party assets, fonts, stock imagery, libraries, and tools used in your project are governed by their respective licenses. Onvextra does not transfer ownership of third-party assets.

6. Confidentiality

Both parties agree to keep confidential information shared during the engagement private and to use it only for the purpose of completing the project. This obligation survives termination of the engagement for two (2) years.

7. Limitation of liability

Onvextra's total liability arising out of any project shall not exceed the total amount paid by the client for that project. Onvextra is not liable for indirect, incidental, or consequential damages.

8. Termination

Either party may terminate the engagement in writing. If terminated by the client after work has begun, fees for work completed are non-refundable. See our Refund Policy for details.

9. Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. Any dispute shall be resolved in the state or federal courts located in Bronx County, New York.

10. Changes to these Terms

We may update these Terms from time to time. The current version is always available on this page. Material changes will be communicated by email to active clients.
